SPX Files Registration Statement Related to
LYONs
MUSKEGON, Mich., March 1 SPX Corporation today
announced that it filed with the Securities and Exchange Commission a
Registration Statement for the resale of previously issued 20-year Liquid
Yield Option(TM) Notes (LYONs). The registration statement also includes
shares of common stock of SPX Corporation into which the LYONs are
convertible.
The LYONs are zero-coupon senior notes convertible into shares of SPX
common stock if the market price of the shares reaches specified thresholds or
certain other conditions are met. The LYONs were originally sold on
February 6 in a private placement to qualified institutional investors. The
filing of this registration statement is required by the registration rights
agreement that SPX Corporation entered into with the holders of the LYONs.
A registration statement relating to these securities has been filed with
the Securities and Exchange Commission but has not yet become effective. This
