BEI Technologies Declares Quarterly Dividend

SAN FRANCISCO, Feb. 22 The Board of Directors of BEI
Technologies, Inc. today announced a quarterly cash dividend of
$.01 per share. The dividend was declared February 22, 2001 and is payable
March 23, 2001 to shareholders of record March 8, 2001, according to Charles
Crocker, Chairman of the Board and Chief Executive Officer.
Crocker stated, "This dividend continues our company tradition of
rewarding shareholders." The Board's decision to declare a dividend of
$.01 per share was after consideration of the Company's one-for-one stock
dividend paid in November 2000 to shareholders of record October 30, 2000,
effectively doubling the number of shares outstanding for the Company as of
that date.
On October 30, 2000, shareholders of record of BEI Technologies received
one common share of BEI's newly established subsidiary, OpticNet, for every
two shares held of BEI Technologies. The OpticNet distribution was completed
on November 22, 2000 and these securities are currently restricted and not
tradable by the holders. In addition, a cash dividend of $.05 per share was
paid in November to shareholders of record on October 30, 2000, to help defray
their estimated tax liability on receipt of the OpticNet stock and cash
dividends, as was a further $.02 per share dividend paid on December 21, 2000.
BEI Technologies, Inc. is an established manufacturer of electronic
sensors, motors, actuators and motion control products used for factory and
office automation, medical equipment, military, aviation and space systems.
In addition, sales to manufacturers of transportation equipment including

to the Company's business in recent years, in particular, sales of the

stability control systems. BEI also manufactures electronic steering wheel
position sensors, seat-memory modules, throttle position and pressure sensors
and other devices used in automotive systems.
