Wrenchead Announces Completion of Profit Pro Acquisition

 Merger Completed, Management Puts Priority on Improving Delivery of Catalog
                         And Service Dealer Products

    WHITE PLAINS, N.Y., Feb. 1 Wrenchead, Inc., a leading
developer of e-commerce technology for the automotive aftermarket, today
announced that it has completed the acquisition of Draper, Utah-based Profit
Pro, Inc., the leading provider of POS software, communication technology, and
electronic parts cataloging for the automotive aftermarket.  The Profit Pro
electronic parts catalog is one of the world's preeminent sources of passenger
and light truck parts data, with more than 1.5 million aftermarket part
numbers.
    With the acquisition, Wrenchead becomes the largest provider of software
applications, information, and e-commerce technology for the automotive
aftermarket, with products and services for manufacturers, warehouse
distributors, jobbers, and installers.  Wrenchead, Inc., now offers the most
comprehensive web-enabled electronic parts catalog for the automotive
aftermarket addressing replacement, accessories, and performance parts.
    Wrenchead, Inc., COO Bryan Murphy was interviewed about the company's 2001
priorities, "Wrenchead will focus on our core technology and will continue to
build our electronic parts catalog and installer based solutions, which have
been integrated by over 100 automotive aftermarket technology companies."
Through its ProfitWare and ProfitShare initiatives, Profit Pro brings together
more than 1,000 manufacturer and distributor partners.  Wrenchead's mission in
2001 will be to continue to enhance and improve the distribution of parts in
the automotive industry with superior technology solutions.  With the merger
complete, Wrenchead is planning an aggressive launch of Vision Estimator, an
estimating, parts lookup, and ordering tool.  Vision Estimator links
installers to their current suppliers, permitting them to access required
parts, and check pricing and availability.
    Murphy also announced that Brad Duncan, former CEO of its recently
acquired Profit Pro division, is leaving the company to pursue other
interests.  "Brad has demonstrated tremendous vision and will be missed.  He
and his team have built a strong company that is poised for further growth.
The ball is now in our hands to deliver on that promise to the aftermarket,
and I am extremely confident that we have the team to do it," said Murphy.
