Top Aftermarket Sunroof Companies, Webasto Sunroofs, Inc. and Hollandia Sunroofs, Inc., Merge

                          Maintains Leading Position

    BRIGHTON, Mich., Sept. 5 The two leading sunroof companies
in the North American automotive aftermarket have merged.  Webasto Sunroofs,
Inc., Aftermarket Division and Hollandia Sunroofs, Inc., have consolidated
operations creating a new company: WebastoHollandia North America, Inc.
    Webasto Sunroofs, Inc., the North American aftermarket division of Webasto
AG, and Hollandia Sunroofs, Inc., the North American distribution channel for
Vermuelen Hollandia Sunroofs, The Netherlands, are now both owned by Webasto
AG.
    Webasto AG, the world's largest sunroof supplier to the automotive
industry, is consolidating the two companies to solidify the leadership
positions that both sunroof lines now hold.  Worldwide, Webasto AG employs
4,300 persons and projects sales for 2000 in excess of $1 billion.
    "We will maintain the Webasto line as the value leader in all segments,
and will continue to develop the Hollandia line as the leader in innovation,"
said Chris Connolly, the new President and CEO of WebastoHollandia N.A.
Connolly held the same titles at Hollandia Sunroofs, Inc.
    "With combined, technical, R & D, management, and sales forces, we are
offering the two, best quality sunroof lines in the industry, enabling us to
stay well ahead of the competition.  The Webasto line is distributed under the
Solaire brand name, and the Hollandia line will be distributed under a new
yet-to-be determined brand name," said Connolly.
    WebastoHollandia N.A., headquartered in Brighton, MI, has over 300
authorized installers in the United States and Canada, and warehouse and
distribution facilities in Brighton, MI, and Santa Fe Springs, CA.
    Webasto AG has technical and manufacturing facilities in Brazil, France,
Germany, Great Britain, Finland, Italy, Japan, the Netherlands, Poland, Spain,
South Korea, Turkey, the Ukraine and the U.S.  Webasto AG has been supplying
sunroof and thermo systems to global automakers and the aftermarket for over
65 years.  In June, 2001, the company will mark its 100th anniversary.
