INCAT Acquires Visual Edge Division

    NOVI, Mich., May 9 INCAT Systems Inc. today announced the
acquisition of the Farmington Hills, Mich.-based Engineering Technology Group
from Visual Edge Technology of San Jose, Calif.

    The transaction includes the purchase of certain assets and the assumption
of liabilities related to the Engineering Technology Group business.  Most of
the employees of the organization will continue as INCAT employees.

    Prior to this transaction, the Engineering Technology Group provided
Autodesk(R) CAD/CAM software and related services to a variety of engineering
and manufacturing companies in the metropolitan Detroit area.  Its former
parent company, Visual Edge Technology, founded in 1986, is a leading
manufacturer of graphic reproduction systems for the engineering community.

business, while continuing to deliver quality service to our customers," said
