Visa U.S.A. Announces Integrated Marketing Partnership with Penske Motorsports, Inc.
   Visa Expands Motorsports Portfolio with Race Track Sponsorships, Retail
                                  Marketing

    SAN FRANCISCO, Aug. 26 -- Visa U.S.A. and Penske Motorsports,
Inc. (PMI) today announced a three-year strategic marketing alliance that
names Visa as the official consumer payment product of Penske Motorsports,
Inc.  Strengthening its position as a major force in motorsports marketing,
Visa receives a number of property sponsorship rights, including advertising
and on-track signage at Penske Motorsports speedways.
    This agreement follows Visa's recent announcement of partnerships with
NASCAR and the Daytona International Speedway, adding to a sports marketing
roster that includes the Olympics, the National Football League, and the Visa
Triple Crown Challenge.
    "With this alliance, Visa enhances its motorsports presence and
demonstrates its commitment to the sport, as well as to race fans everywhere,"
said Carl F. Pascarella, president and CEO, Visa U.S.A.  "This partnership
further illustrates Visa's commitment to expanding our unsurpassed base of
leading properties.  By aligning with the Penske organization, Visa is
everywhere race fans want to be."
    As part of the partnership, Visa is designated the official consumer
payment service sponsor at the following Penske speedways: California
Speedway, Michigan Speedway, Nazareth Speedway, North Carolina Speedway and
Homestead-Miami Speedway, where PMI has a 45 percent interest.
    "Penske Motorsports is excited about our alliance with Visa," said Greg
Penske, president, Penske Motorsports.  "We believe this relationship will be
beneficial to both PMI and Visa, exposing Visa cardholders to the thrill of
motorsports while introducing racing fans to the value-added benefits of Visa
at all our PMI tracks."
    As part of this marketing agreement, Visa receives program and Internet
advertising along with track signage, hospitality and event-day employee
uniform identification.  Additionally, Visa receives the rights to utilize the
Penske mark with both participating merchants and member banks.  Visa will
also offer a Penske value-added program for cardholders.  The sponsorship,
effective May 19, 1998, runs through 2001.
    "As with our NASCAR and Daytona partnerships, the exclusive 'Penske
Prefers Visa,' designation will allow member banks that issue Visa cards and
merchants that accept Visa to tap into one of the most loyal fan bases in
sports," added Pascarella.  "This strategic marketing agreement aligns two
industry leaders, benefiting cardholders and providing opportunities for our
member financial institutions through a number of marketing initiatives."
    Additional marketing opportunities include: retail point-of-sale signage;
a Penske Visa corporate card program; on-track hospitality packages and public
address announcements; Penske employee uniform patches; "on-hold" phone
messaging and employee prompting by Penske telephone operators; and cardholder
benefits including exclusive ticket lines at Penske tracks and value-added
offers at Penske tracks, Penske automotive centers and Penske Truck Rentals.
