Top Source to Install Seven OSA Units in Retail Tire Stores in Jacksonville, Florida

PALM BEACH GARDENS, Fla.--July 8, 1998--Top Source Technologies, Inc. (AMEX: TPS) today announced that a leading operator of retail tire stores in Jacksonville, Florida has agreed to install Top Source's MotorCheck(TM) On-Site Analyzer ("OSA") units in its seven Jacksonville locations.
Customers will be offered immediate computer analysis to determine the condition of their motor vehicles' engines and transmissions. While generating additional revenues for the retailer, as well as Top Source, this OSA test program has been designed to draw customers to these retail outlets via newspaper advertising and public relations, direct mail campaigns and Point of Sale marketing. The Company also intends to hold a press conference at the grand opening in August.
The unnamed tire chain, part of a tire distribution group that supplies 20,000 tire retailers across the country, has been granted exclusive OSA distribution rights to the Jacksonville market for the entire six-month test period or longer, if both parties agree.
Will Willis, Jr., Chairman and CEO of Top Source stated, "This is a win-win-win situation for Top Source, our latest partner, and the motorists of Jacksonville. With the OSA, this Jacksonville tire retailer is positioned to generate incremental revenues from tire customers and, at the same time, attract new customers by becoming the sole MotorCheck(TM) source in the large Jacksonville market. We believe that auto, truck, motorcycle and RV operators will appreciate the benefits of the MotorCheckT analysis, particularly the early warning system that may prevent costly engine damage and breakdowns, help consumers avoid making disastrous used- vehicle buying mistakes, and intelligently question mechanics' repair estimates. The cost of the MotorCheckT test is about the price of a tank of gas, and takes less than five minutes. Naturally, for Top Source, we view this development as demonstrative of the increasing awareness and acceptance of OSA technology and our ability to successfully commercialize it."
Top Source Technologies, Inc. develops, assembles, and markets sophisticated technologies including the patented MotorCheck(TM) On-Site Analyzer, an "oil analysis mini-lab in a box," and proprietary Overhead Sound Systems.

The statements discussed in this press release relating to the Company's expectations that it anticipates generating additional revenues for the retailer offering OSA service as well as for the Company, are forward-looking statements within the meaning of Section 27A of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934. The results anticipated by some or all of these forward-looking statements may not occur.
Important factors that could cause actual results to differ materially from the forward-looking statements include the following: (1) unexpected manufacturing problems or technical difficulties with the OSA-II, and (2) the Company's inability to market the OSA-II instrument in the Jacksonville marketplace.
