Ducati Names UBM for Capital Increase

BOLOGNA, Italy, January 20 -- Ducati Motor Holding S.p.A. announced today that it has named Unicredit Banca Mobiliare S.p.A. (UBM) to assist the company in evaluating, organizing and conducting a possible capital increase, in one or more instances, for up to a maximum of Euro 80 million, through an offer of ordinary shares to its shareholders. UBM will also promote and set up a syndicate of stand-by underwriters who will subscribe to any shares that may remain unsubscribed to at the conclusion of the transaction.

For this purpose, an Extraordinary Shareholders' Meeting has been called for January 26th, 2006 (second call) at 4:30pm (CET) to grant the Board of Directors the power to increase the Company's share capital, in one or more instances, over a period of five years, for up to a maximum of Euro 80 million through the issuance of DMH ordinary shares to be offered to shareholders by way of subscription rights.
