Intelli-Check Announces Private Placement of Approximately $5 Million of Common Stock

WOODBURY, N.Y.--Aug. 4, 2005--INTELLI-CHECK(R), INC. (AMEX:IDN) announced today that it has entered into definitive agreements to sell up to 1,240,000 shares of its common stock at $4.00 per share to a group of accredited investors in a private placement. The offering will raise up to $4,960,000 for Intelli-Check before expenses. As part of the offering, investors will also receive warrants to purchase up to an additional 496,000 shares of the company's common stock at $5.40 per share. The company will shortly file a registration statement with the Securities and Exchange Commission for the resale of these securities. The transaction is expected to close this week.

The securities being sold in this private placement have not been registered under the Securities Act of 1933, as amended, or any state securities laws, and, until so registered, may not be offered or sold in the United States or any state in the absence of an effective registration statement or applicable exemption from registration requirements.

JMP Securities LLC acted as the sole placement agent of the offering.
