GM Schedules Annual Stockholders Meeting for June 7 Distributes Proxy Statement and Annual Report

DETROIT May 2, 2005; General Motors Corp. today filed its annual proxy statement with the U.S. Securities and Exchange Commission.

The proxy statement includes information about GM's annual meeting of stockholders, to be held on June 7 in Wilmington, Del., the election of directors to GM's Board of Directors, the ratification of the selection of independent public accountants for the next year, and five stockholder proposals.

In addition, the proxy statement outlines executive compensation for GM's top five officers for 2004.

For the top five executive officers, overall cash compensation for 2004 was down 37 percent versus 2003. Cash compensation for Chairman and Chief Executive Officer Rick Wagoner in 2004 was down 43 percent from 2003. In addition, option grants were generally down 20 percent for the year.

Twelve directors will stand for election to the GM Board of Directors at the annual meeting, including the newly nominated Erskine Bowles. GM's directors are elected annually and include 11 independent directors.
